Overview

We are seeking an enthusiastic and motivated qualified Governance professional to hold a key role in the Plc Governance team, providing high quality governance advice to Schroders plc and Schroders Group subsidiaries.

This role has a focus on plc governance, including external reporting deliverables and being a member of the Group’s key sustainability committee. This individual will also be the Company Secretary to the Group’s Pension Trustee Company and Investment Committee. You will take a key role in strategic projects, managing external reporting and managing and mentoring more junior members of the team.

What you’ll do:

  • Act as Company Secretary to the Group’s Pension Trustee Company and Investment Committee including technical and governance advice. Responsible for end-to-end support (forward planning, board papers, attending board meetings, board evaluations and drafting minutes);
  • A member of and secretary to the Group Sustainability and Impact Committee, including technical and governance advice. Responsible for end-to-end support (forward planning, committee papers, attending committee meetings and drafting minutes);
  • Responsible for governance aspects of sustainability reporting for the Group, including TCFD, TNFD, CDP, gender reporting disclosures, human rights and workforce disclosures and other initiatives.
  • Responsible for horizon scanning of legislation/regulation, input into or leading responses to consultations, including collaborating with senior stakeholders in the business and overseeing the Group’s sustainability governance framework;
  • Support Schroders plc year end process: related party transactions and Director annual declaration packs, assisting with drafting of governance section of the Annual Report, AGM planning;
  • Manage a Governance trainee, responsible for their delivery and development;
  • Provide governance support and technical advice to Schroders Group subsidiary boards as required and keeping the Boards up to date on all governance developments;
  • Provide technical advice on statutory and regulatory requirements arising from, inter alia, the Companies Act, FCA Listing Rules and Disclosure and Transparency Rules, the Market Abuse Regulation, UK Corporate Governance Code;
  • Be involved in Group projects as required, including related party transaction advice, acquisitions and other strategic projects, including investigating the use of automation and AI to improve governance processes;
  • Manage insider lists for financial results and key projects, including relevant business communications;
  • Be an active member of our global Group Governance Network, sharing knowledge and encouraging best practice.

Person Specification

The knowledge, experience and qualifications that you need:

  • Qualified chartered secretary with a background in a listed company environment, c. 5 years PQE
  • Experience in sustainability governance, with a good understanding of external reporting requirements
  • Experience in financial services desirable
  • Commercial, data led approach to governance
  • Knowledge of pensions including the governance of corporate trustees desirable
  • Knowledge of Companies Act, FCA Listing Rules and Disclosure and Transparency Rules, the Market Abuse Regulation, UK Corporate Governance Code.
  • Experience of entity management software, electronic board portals.
